Terms and Conditions


Order Communication:

All purchase orders must be submitted via website, e-mail, fax, or U.S. mail. Purchase orders that do not include product numbers will be delayed in processing. All purchases must be accompanied by a method of payment.

Backorders:

Backorders will be kept open and shipped when the merchandise is ready unless cancelled by the retailer.

Prices:

Prices and product availability are subject to change without notice.

All prices are net of sales and use tax, which are solely the responsibility of the customer. Customer agrees to indemnify and hold harmless Royal River Trading, LLC from any liability, interest and costs (including penalties and reasonable attorneys’ fees) arising from any failure of customer to remit any sales or use taxes due to the state to which the product is shipped.

Terms and Credit:

Net 30 Days to established credit approved accounts. Credit card or advance payment may be required for new accounts. Retailers requesting Net 30 Day terms must complete a Credit Application form including at least 3 trade references and other relevant store information. A Credit Application form will be provided when open account status is requested. New orders will be held until credit is approved. A new retailer can request immediate shipment if charged to a credit card.

We accept Amex, Visa, MasterCard, and Discover/Novus.

Finance Charges and Late Fees:

A finance charge of 1½% per month will be added to all past due unpaid account balances. In the event of failure to pay any charges when due, retailer will be liable for all reasonable attorney fees and costs of collection.

Returned Checks:

Any returned checks will be charged a $25.00 handling fee.

Guarantee:

Royal River Trading, LLC products are fully guaranteed to be free of defective materials and workmanship.

Sample Policy:

We can provide samples to prospective retailers for the listed wholesale price of the item, plus applicable shipping charges.

Image Reproduction:

Any reproduction of images from our catalogs or websites: RoyalRiverTrading.com or Cuddledown.com are prohibited. The images may not be photographed, scanned, transmitted, stored in a retrieval system of any nature or used on the Internet without express written permission from Royal River Trading, LLC.

Online Advertising:

Royal River Trading, LLC is a wholesaler of the Cuddledown line of bedding and similar products. Partner agrees not to purchase as keywords on any search engine those words or phrases that include the word Cuddledown, including, but not limited to, Cuddledown, Cuddledown of Maine, www.cuddledown.com, or cuddledown. com. Partner also agrees not to competitively bid against Royal River Trading, LLC or its affiliated companies for paid placement either on Paid Search or comparison shopping engines. Royal River Trading, LLC recommends that our partners utilize a negative keyword strategy for our brand name as well as considering how their broad match strategies could impact the aforementioned terms and conditions.

Defective Manufacturing and Materials Return:

Royal River Trading, LLC fully guarantees our products against material and manufacturing defects. If you receive an item with a manufacturing defect it may be returned. Please inspect all merchandise upon receipt. No returns will be accepted after 30 days past the shipping date. Royal River Trading, LLC, at its discretion, will either replace the product or credit the retailer’s account for the invoiced price. All returns are subject to inspection before replacements or credits are issued.  If Royal River Trading, LLC determines the goods are not of inferior quality, the return will be subject to a 25% restocking fee. No returns allowed for custom, discontinued, sale or non-stock items. The retailer pays the freight for all returns of non-defective items. No C.O.D. shipments. Freight charges for any returns will not be reimbursed. Royal River Trading, LLC must authorize all returns in advance.

The Return Authorization number must be prominently written on the shipping label and a copy of the Return Authorization sheet placed outside or inside the returned package. Products returned without a Return Authorization number will be refused.
